Terms and conditions

Last updated: 14 October 2026

These terms govern the use of neurotechagency.com and set out the principles on which NEUROTECH AI S.R.L. works with its clients. By using the website, the user accepts these terms.

1. About us

The website neurotechagency.com is operated by NEUROTECH AI S.R.L., with its registered office in Cluj county, Romania (Cluj-Napoca), registered with the Trade Register under no. J2025094278003, tax identification number (CUI) 53047144, EU VAT number RO54293716, email contact@neurotechagency.com, phone +40 768 060 171. This information is also provided in accordance with Romanian Law no. 365/2002 on electronic commerce.

2. Definitions

  • "Neurotech" or the "Provider": NEUROTECH AI S.R.L.
  • "Website": neurotechagency.com, including its sub-pages, forms, demos and the embedded voice agent.
  • "User": anyone who accesses or uses the Website.
  • "Client": the business or professional that enters into a services contract with Neurotech.
  • "Services": the design and implementation of AI voice agents, WhatsApp and web chatbots, process automation, custom ERP/CRM applications, websites and related services (maintenance, support, hosting, consultancy).
  • "Proposal": the tailored written proposal sent by Neurotech to a prospective Client.
  • "Contract": the written agreement between Neurotech and the Client, together with its annexes (including the accepted Proposal and, where applicable, the data processing agreement).
  • "AI Output": text, answers, summaries, classifications, voices or other content generated by artificial intelligence systems.

3. Use of the Website

The Website presents Neurotech's Services and allows Users to get in touch. Users must use the Website in good faith, for lawful purposes and without interfering with its operation or the rights of others. In particular, Users must not:

  • attempt to gain unauthorised access to the Website or its associated servers or databases;
  • send malware, spam or content that is unlawful, offensive or infringes the rights of others;
  • use robots, scripts or other automated means to scrape content in bulk or to overload the Website or the voice agent;
  • try to manipulate the voice agent or other AI systems to obtain confidential information, bypass safety measures or produce unlawful content;
  • enter false information, or other people's personal data without the right to do so, into forms or conversations;
  • copy or reproduce the Website or any part of it beyond what the law permits.

Neurotech may restrict access for Users who breach these rules and may report them to the competent authorities.

4. Nature of the information and demos

  • Information on the Website is general and promotional. Neurotech makes every effort to keep it accurate and up to date but does not guarantee that it is complete or suitable for any particular situation.
  • The animated demos on the Website (for example conversations, dashboards and workflows) use fictional data created purely for illustration. Any resemblance to real people or businesses is coincidental.
  • The AI voice agent on the Website is an automated assistant. It identifies itself as AI, may misunderstand or give inaccurate answers, and its answers are not binding offers, contractual commitments or legal or tax advice.
  • Case studies and results shown reflect past projects and do not guarantee the same results for other Clients.
  • Information about EU funding and the eligibility check is indicative only; actual eligibility is determined solely by each programme's official guidelines and the assessment of the competent authorities.

5. Proposals and contracts

The presentation of Services on the Website is not a binding offer under the Romanian Civil Code but an invitation to enter into negotiations. A business relationship is formed as follows:

  • The User sends an enquiry (via a form, by booking a call, through the voice agent, WhatsApp, email or phone).
  • Neurotech assesses the needs and sends a written Proposal setting out the scope, deliverables, price, implementation timeline and payment schedule.
  • Work begins only once the Contract has been signed by both parties and, where so agreed, the first instalment has been paid.
  • In the event of any inconsistency, the Contract prevails, followed by the accepted Proposal, followed by these terms.

Neurotech's Services are aimed at businesses and professionals (B2B). If, exceptionally, a Client is a consumer, any rights granted to them by mandatory consumer protection law remain unaffected.

6. Prices and payment principles

  • Prices shown on the Website are indicative "starting from" implementation prices, excluding VAT. They are not binding offers.
  • The final price, exact scope, timeline and payment schedule are set out in the written Proposal and the Contract, depending on the complexity of the project.
  • Implementation fees are normally paid in instalments tied to deliverables (for example, a deposit at project start followed by instalments as agreed milestones are reached), as set out in the Contract.
  • Monthly costs (for example call minutes, messages, AI model usage, hosting, third-party licences, maintenance) depend on usage and are set out in the Contract.
  • VAT is added to prices as required by law.
  • Late payment may give rise to late-payment charges and entitle Neurotech to suspend the Services, under the conditions set out in the Contract.

7. Client obligations

  • provide in good time the information, materials, access and accounts needed for implementation (for example system access, phone numbers, WhatsApp Business accounts, website content);
  • ensure that it has the right to use, and to make available to us, the content, data and materials it provides, and that these do not infringe third-party rights or the law;
  • use the solutions delivered lawfully, including in compliance with data protection law, rules on commercial communications and the duty to inform end users that they are interacting with an AI system;
  • inform its own customers and users, as controller, about the processing of their data and obtain any consents required by law;
  • appoint a contact person and provide feedback and approvals within the agreed timeframes;
  • comply with the terms of use of the third-party providers integrated into the solution (for example Meta/WhatsApp, Twilio, ElevenLabs, Google).

Delays caused by failure to meet these obligations may extend delivery deadlines accordingly.

8. Intellectual property

The Website content (text, graphics, logo, design elements, demos, video and audio material, source code) belongs to Neurotech or its licensors and is protected by copyright and trade mark law. You may view the Website and share links to it; any other reproduction, modification or commercial use without Neurotech's written consent is prohibited.

Rights in the deliverables created for Clients (code, configurations, automation workflows, design, content) are set out in the Contract. Neurotech retains its rights in tools, components, templates and know-how that pre-exist or are developed independently, and may reuse them in other projects without disclosing any Client data or confidential information. Third-party and open-source components remain subject to their own licences.

9. AI Output and human oversight

  • AI systems work on a probabilistic basis and may produce incomplete, inaccurate or inappropriate results. Neurotech configures and tests its solutions with due care but cannot guarantee that every AI Output will be correct in every situation.
  • The Client remains responsible for decisions made on the basis of AI Output and for putting in place appropriate human oversight, especially for decisions with legal or financial impact or that affect individuals.
  • Agents implemented by Neurotech identify themselves as AI systems, in line with the transparency obligations of Regulation (EU) 2024/1689 (the AI Act). The Client will not ask for, or configure, solutions in a way that conceals their artificial nature.
  • The solutions are not intended for practices prohibited by the AI Act nor, without a dedicated assessment and contract, for uses classified as high-risk.

10. Third-party services and links

The Website and Neurotech's solutions may integrate or link to third-party services (for example Google Meet, WhatsApp, telephony providers or AI model providers). These services are subject to their own terms and policies. Neurotech does not control, and is not responsible for, the content, availability or unilateral changes of third-party services, including changes to their pricing, policies or features, but will make reasonable efforts to limit their impact on Clients.

11. Limitation of liability

  • The Website is provided "as is". Neurotech does not guarantee that the Website or the demo voice agent will operate without interruption or errors.
  • To the extent permitted by law, Neurotech is not liable for indirect loss (for example loss of profit, loss of data or loss of goodwill) arising from use of the Website or the information on it.
  • Neurotech's liability towards Clients is set out in the Contract and, to the extent permitted by law, is capped at the amount stated in the Contract.
  • Nothing in these terms limits or excludes liability for loss caused intentionally or through gross negligence, for personal injury, or in any other case where the law does not allow liability to be limited.

12. Force majeure

Neither party is liable for failure or delay in performing its obligations caused by force majeure as defined in Article 1351 of the Romanian Civil Code, including, without limitation, natural disasters, war, epidemics, acts of public authorities, or major outages of internet infrastructure or essential providers beyond that party's control. The affected party will notify the other party as soon as possible and take reasonable steps to limit the consequences.

13. Personal data

How we process Users' personal data is described in our Privacy Policy, and our use of cookies and local storage in our Cookie Policy. In Client projects, the Client is the controller of its customers' and users' data and Neurotech acts as a processor, under a data processing agreement entered into in accordance with Article 28 GDPR, which forms part of the Contract.

14. Complaints and dispute resolution

Complaints can be sent to contact@neurotechagency.com or made by phone on +40 768 060 171. We will respond within 30 days at the latest. The parties will first try to resolve any disagreement amicably.

Consumers may also use alternative dispute resolution (ADR) procedures through the Romanian National Authority for Consumer Protection (ANPC); details are available at anpc.ro/ce-este-sal. The European Online Dispute Resolution (ODR) platform was closed on 20 July 2025 following Regulation (EU) 2024/3228 and can no longer be used to submit complaints.

15. Governing law and jurisdiction

These terms, and the relationship between Neurotech and its Users or Clients, are governed by Romanian law. Disputes that cannot be resolved amicably will be submitted to the competent courts for Neurotech's registered office in Cluj county, unless mandatory law provides for a different competent court, including in favour of consumers.

16. Changes to these terms

Neurotech may update these terms to reflect changes to its Services or to the law. The version in force is the one published on the Website, with the date of the last update. Changes do not affect Contracts already signed, which remain governed by their agreed terms.

17. Final provisions and contact

If any provision of these terms is found to be void or unenforceable, the remaining provisions remain in force. Failure to exercise a right does not amount to a waiver of it.
